Aethera Creator Agreement

This agreement between Aethera.TV LLC and the eligible seller governs third-party digital-product offerings in Aethera Exchange. It supplements the Terms of Service.

Eligibility and authority

  • You must be at least 18 years old to receive creator revenue.
  • A creator under 18 may sell only through an adult guardian-managed seller and payout account.
  • You must have authority to accept this agreement for the individual or registered business receiving payouts.
  • You must provide accurate information to Stripe and keep your Stripe account requirements current.
  • Aethera Verify approval applies to the legal payout recipient and is not a public endorsement or identity badge.

Identity, privacy, and public names

Stripe collects and verifies identity documents, tax, business, and payout information in its secure flow. Do not send raw identity documents, tax identifiers, or bank details to Aethera support. For paid Exchange sellers, Aethera separately stores a protected traceability record that can include legal and trading names, geographic address, telephone number, email address, trader status, applicable trade-register details, verification references and hashes, review decisions, retention state, and legal holds.

You may continue to use a pseudonym or channel name as your storefront identity, but it cannot replace the seller information that an approved sales jurisdiction requires. A paid trader disclosure can include the reviewed legal or trading name, geographic address, trade-register details, and a legally sufficient contact method. Exact telephone, email, and address-redaction rules require jurisdiction-specific approval before paid offers are enabled. Raw identity evidence and payout credentials are never public disclosure.

Exchange orders and creator proceeds

  • Aethera creates each one-time Exchange payment on the platform and sets the seller's connected Stripe account as the destination. The Exchange order is not a direct charge on the seller account.
  • The Aethera fee is 12.5% of the discounted pretax product price. Creator proceeds exclude tax and equal discounted pretax product revenue minus that fee. See the Fee Schedule.
  • The Stripe provider application-fee amount retains the separately recorded Aethera fee plus any platform-liable sales tax. Aethera pays Stripe processing fees for these destination charges.
  • Destination-charge disputes are platform-borne unless a separately approved recovery policy is actually executed through the audited workflow. No creator-dispute recovery policy is currently approved.
  • First-party Aethera services, creator memberships, and historical transactions use their own recorded payment terms; this agreement preserves those recorded terms.
  • Creator memberships retain their separately recorded recurring Connect flow and the identified creator remains the seller and licensor of creator benefits. They are not one-time Exchange destination charges.

Offerings and fulfillment

You may offer eligible memberships, digital content, videos, maps, modules, downloads, store products, and Aether-powered creator support in accordance with the Commerce Policy. You must own or have the rights needed to sell and deliver every offering. For Exchange listings, you must accurately describe compatibility, included files, the standard license, AI involvement, price, material limitations, and your documented product-support channel.

Your promises about content

  • You own or control every right needed to upload, market, modify, display, perform, distribute, and license the offering in every approved sales region.
  • Your listing, compatibility claims, previews, price, included files, support details, third-party notices, and AI disclosures are complete and not misleading.
  • Your offering contains no malware, stolen material, unlawful personal data, undisclosed likeness or voice, or terms that conflict with the buyer license.
  • You will keep reasonable rights and creation records and cooperate with a legitimate refund, fraud, safety, tax, or rights investigation.

License to operate Exchange

You retain your copyright. You grant Aethera a non-exclusive, worldwide license, for as long as reasonably needed to operate and support the offering, to host, copy, cache, scan, transcode, adapt for technical delivery, preview, market, distribute, install, back up, and preserve lawful buyer access. This includes completing existing orders and handling legal, safety, refund, and recordkeeping duties after delisting.

One standard buyer license

At launch, eligible Exchange content uses the Aethera Exchange Commercial Content License v1.0. Personal-only, custom, and incompatible open-license options remain unavailable. You may not add conflicting terms or retroactively reduce a buyer's recorded rights. A clearly disclosed compatible third-party attribution notice may pass through; attribution is otherwise not required.

Delivery, updates, and customer care

  • Deliver the listed files and benefits promptly through the supported Aethera workflow.
  • Keep recurring benefits materially available while billing continues.
  • Do not require a buyer to send payment credentials or sensitive identity documents for support.
  • Do not move a buyer off-platform to avoid fees, verification, refunds, disputes, records, or safety controls.
  • Give accurate release notes and do not use an update to replace a buyer's immutable license or AI disclosure history.
  • Do not use automated copyright or Content ID claims to interfere with a buyer's permitted finished project. Promptly release a mistaken claim after receiving enough information to verify the license.
  • You may stop new sales by delisting, but ordinary delisting does not end an acquired one-time license. Aethera may preserve files and metadata needed to support existing buyers and active membership terms.

Refunds and digital delivery

Buyers can submit an order-specific request from Exchange purchase history. Sellers can review assigned requests and the private buyer conversation in Marketplace Studio; authorized administrators retain a separate escalation and decision path. A request is not an automatic approval or denial.

Checkout stores versioned policy and immediate-digital-delivery consent evidence. Those technical records do not waive rights that applicable law makes nonwaivable and do not replace jurisdiction-specific legal review. The unapproved Refund Policy describes the implemented request and entitlement flow.

Exchange sales are final by default, but Aethera and the seller may review fraud, unauthorized or duplicate charges, non-delivery, malware or rights removal, or materially defective or misdescribed content case by case. You must respond honestly and preserve relevant evidence; no outcome or review time is promised.

Taxes and records

Sellers remain responsible for their own income and business-tax obligations. Aethera collects applicable sales tax on one-time Exchange purchases with an Indiana purchase destination, based on the reviewed product classification and the buyer's checkout details. Tax is added separately and is not creator revenue. Aethera pays payment-processing and Stripe Tax usage costs. Sellers must supply accurate product information.

Rights, reports, and moderation

  • Product and review policy concerns can be submitted through the signed-in report actions on Exchange product pages.
  • Copyright owners or authorized agents can use the copyright and DMCA form.
  • Ordinary product help should use the seller's documented support channel; account, billing, access, or private safety concerns can go to Aethera Support.
  • Eligible rejected or quarantined seller submissions can be appealed from the Marketplace Studio moderation history. Submission does not promise a particular outcome or review time.
  • Aethera may terminate seller access under a reasonable repeat-infringer policy and may act sooner for a serious, admitted, or court-determined violation.

Seller responsibility and indemnity

You agree to defend and indemnify Aethera.TV LLC and its operators against third-party claims and reasonable costs caused by your offering, your breach of these promises, taxes assigned to you, or your violation of intellectual-property, privacy, publicity, or consumer rights. This does not cover Aethera's fraud, willful misconduct, or obligations that cannot legally be shifted.

Requirements, holds, and offboarding

Aethera may pause new paid offerings, creator checkouts, earnings accrual, or payout receipt when Stripe requirements are overdue, capabilities are unavailable, fraud or policy risk is under review, or this agreement is no longer accepted. Authenticated Stripe payout management remains available when needed for remediation. A hold never authorizes an administrator to fabricate Stripe verification. Existing customer access, refunds, and subscription handling remain subject to applicable law and the relevant transaction terms.

Changes

Aethera records the exact agreement version accepted by the legal payout recipient. Material changes require clear notice and reacceptance where appropriate. A later version applies prospectively and cannot retroactively reduce an already acquired buyer license.
